Duties include: · Attend every Board Meeting, record attendees, take minutes of the proceedings and accurately record decisions made. · Submit meeting minutes including committee reports to the Board for review within 60 days of the meeting. Resubmit prior to the subsequent Board meeting so members can vote to accept or amend. · Maintain hard copy record of all meetings and submit electronically to Webmistress and Historian. · Maintain familiarity of the Corporate ByLaws and serve as a governance advisor to the board on their processes. While the organization’s bylaws typically do not provide a guide to a wide range of board practices they are often useful on questions of quorum, voting and committees. The secretary should have them on hand at board meetings. · Insure that the board follows Robert’s Rules for conducting business during meetings. While not all matters before the board will result in a decision, the secretary helps the board to act legally and consistently to make decisions that will be clear in the way they are recorded. · Compose and distribute communications to the Board or the whole membership as needed and directed by the President
